LADBIBLE RESEARCH GROUP TERMS AND CONDITIONS

1 INTRODUCTION
1.1 We are LADbible Group Limited, a company registered in England, with company number 08018627 and registered office at 20 Dale Street, Manchester M1 1EZ (“we”, “us” or “our”). In these terms and conditions, “you” and “your” refers to the natural person that has entered into these terms and conditions (“T&Cs”).
1.2 We have established the LADnation community in order to provide a dynamic,interactive space for our researchers to gather information on our audience, primarily for market research, and occasionally for marketing purposes. LADnation was set up to be a community for our people to be heard, give feedback, toinfluence and to change the future.
1.3 Membership of the LADnation panel is open to UK residents aged over16years old.
1.4 To join the LADnation panel, you must complete the recruitment survey and agree to the user agreement. You agree to provide only true, accurate and complete information about yourself when you join the LADnation panel or update your personal information. You also agree to keep your personal information up to date and accurate. Please note that we reserve the right to decline any application to join the LADnation panel for any reason, without giving a reason. We may refuse to grant you, and you may not use, a screen name or email address that is already being used by someone else, that impersonates another person, that belongs to another person (without that person’s prior consent), that violates the intellectual property or other rights of any person, that is vulgar or otherwise offensive, or that we reject for any other reason, at our sole discretion.
1.5 From time to time, we run data collection projects in the form of surveys and polls (“Surveys”) and focus groups (“Focus Groups”), including the LADnation panel, where you can sign up and take part in Surveys and Focus Groups. Surveys and Focus Groups are referred to in these T&Cs as the “Activities”, each being an “Activity”.
1.6 Your entry to participate and your participation in any of our Activities, is subject to these T&Cs. Please read these T&Cs carefully. By submitting an entry form to participate, or participating, in any of the Activities, you agree that you are have read, understood and accept these T&Cs in full. If you do not agree to these T&Cs, or are under 18, please do not enter to participate and/or immediately withdraw your participation in the Activities as you will not be entitled to participate in any of the Activities.

2 CHANGES TO THESE T&CS
2.1 We may revise these T&Cs at any time by amending this page. Please check this page and our Privacy Notice (www.ladbiblegroup.com/privacy) from time to time and before participating in any Survey or entering to participate in any Focus Group to take notice of any changes we have made. If you do not agree to any changes made to these T&Cs, you should immediately withdraw your participation in any Activity. Continuing to participate in any of the Activities or entering to participate in any new Activities constitutes your acceptance of the changes to these T&Cs and they will be binding on you.
3 TAKING PART IN THE ACTIVITIES
3.1 You may participate in the Activities by answering all the relevant questions and providing all the required contact details in the entry or Survey form (as applicable) accessed via any of our LADbible Group websites at www.ladbible.com, or www.unilad.com, or www.sportbible.com, or www.tyla.com, or www.gamingbible.com, or any LADbible Group social pages e.g. Instagram or Facebook (as the case may be for any of the brands) within the relevant Survey or entry period, or by signing up to our community, LADnation at nation.ladbible.com.
3.2 To participate in the Activities, you must be resident in the UK and aged 16 or over.
3.3 Participating in the Activities is free of charge, but if you are entering via Facebook or Instagram, you will need to have a valid Facebook or Instagram account to be able to access the Survey form or entry form (as applicable).
3.4 You agree to complete the Survey or entry form (as applicable) truthfully and accurately. We may not accept:
- a) multiple entries in any one Activity for any one person;
- b) late, incomplete or joke entry or Survey forms;
- c) any entries into the Activities that are automatically generated by a computer, completed by third parties in bulk or have been tampered with, in our sole discretion; and
- d) any entry or Survey form which breaches these T&Cs.
3.5 We accept no responsibility for Survey forms or entry forms not successfully completed due to a technical fault of any kind.
3.6 We do not guarantee that any Survey will be available or that any Focus Group will go ahead as planned. We may suspend, withdraw, restrict, discontinue or change all or any part of an Activity without notice. We will not be liable to you if for any reason our Activities are unavailable for you to participate in at any time or for any period.
4 TAKING PART IN A FOCUS GROUP
4.1 We will review all valid entries received for each Focus Group against the necessary criteria for the relevant Focus Group study and select the required number of participants. Our decision will be final.
4.2 If you are selected by us as a participant, we will use reasonable endeavours to contact you using the contact details you provided in your entry form or via the LADnation community hub. To participate in a Focus Group, each selected participant must:
- a) if the Focus Group is virtual:
- i) have an internet connection adequate to support the Zoom connection (or other similar free service, as notified by us in advance) and related communication for the duration of the Focus Group; and
- ii) dial into the call(s) on the date(s) and at the time(s) notified by us and participate in the Focus Group.
- b) if the Focus Group is in-person, attend the location of the Focus Group at the time, and for the duration, of the Focus Group (as notified by us).
4.3 If you participate in a Focus Group, you may become aware of opinions, views and information shared by other participants as well as personal information about other participants. You must keep all such information confidential, and you may not use it for any purpose other than to participate in the particular Focus Group. You acknowledge that the views expressed by other participants do not represent our views or values and you should be considerate to other views.
4.4 If you participate in a Focus Group (by dialling into to a virtual Focus Group or attending an inperson Focus Group), you may be eligible for a participation reward. If your Focus Group is inperson, the reward will be provided to you at the end of the Focus Group. If the Focus Group is virtual, we will use reasonable endeavours to contact you to provide you with your participation reward using the contact details you supplied in your entry form. The value and nature of the participation reward will vary and is not non-exchangeable, non-transferable and no cash alternative is offered.
4.5 The provision of any participation reward under these T&Cs is subject to the participant complying with the requirements set out in these T&Cs. If the participant does not comply, the reward may be withheld in our sole discretion.
5 SURVEY PRIZE DRAW (WHERE APPLICABLE)
5.1 On submitting a valid, completed Survey form to us, you may be entered into a prize draw. You will be made aware during participation in the Survey (but in any event before submission of your Survey form) whether a prize draw is taking place in respect of the Survey and if so, additional information about the prize, including what the prize(s) will be, the date of the prize draw and who is supplying the prize (if not us).
5.2 If the relevant Survey includes a prize draw, there will be one prize draw on the date notified by us (in any event, shortly after the Survey closes) where we will choose one winner (unless we notify participants that there will be multiple winners) (the “Winner(s)”) via a random number generator performed by a computer process.
5.3 We will make reasonable attempts to contact the Winner(s) of each prize draw via email (using the contact details provided when completing the Survey form) or via the LADnation community hub. When relevant the Winner(s) must provide a postal address to claim their prize within 2 weeks of being notified by us of winning a prize. If the Winner(s) do not respond to us within this timeframe or we cannot reasonably contact the Winner(s), then the prize will be forfeited and we will be entitled to select another winner in accordance with the process described above.
5.4 Any prize must be claimed within the timeframe set out above, is non-exchangeable, nontransferable and no cash alternative is offered.
5.5 We reserve the right to replace any prize with an alternative prize of equal or higher value if circumstances beyond our control make it necessary to do so.
5.6 Our decision regarding any aspect of the prize draw is final and binding and no correspondence will be entered into about it.
5.7 The provision of any prize under these T&Cs is subject to the participant complying with the requirements set out in these T&Cs. If the participant does not comply, the prize may be forfeited in our sole discretion.
5.8 You acknowledge that we must either publish or make available information that indicates a valid award took place. To comply with that obligation, we will publish the surname and county of the Winner(s) or make such details available to reasonable requests for this information within a month of the end of the Survey. If you object to your details being published or made available if you are a Winner, please contact us. In such cases, we must still provide the information to the Advertising Standards Authority on request.
6 THE CONTENT YOU PROVIDE TO US
6.1 All information provided by you to us in connection with the Activities will be owned by you (the “Content”).
6.2 To the extent that the Content contains personal data, you hereby allow us to use the Content in accordance with our Privacy Notice (www.ladbiblegroup.com/privacy) and as further set out in clause 6.4 (but only to the extent that such usage is consistent with applicable data protection law, including your rights under such data protection law at the relevant time).
6.3 To the extent that the Content does not contain personal data, you hereby allow us to use that
Content in relation to the Activities and as set out in clause 6.4 below.
6.4 The licence you provide to us in clauses 6.2 and 6.3:
- a) Allows us to use, copy, analyse, publish distribute and otherwise exploit the Content (whether alone or in conjunction with other works);
- b) Cannot be revoked by you and are given forever; and
- c) Is given by you without charge or condition.
6.5 You warrant that the Content consists of your own information and that you have secured all necessary rights, permissions and releases to grant us the licence right in the Content set out in clause 6.4.
7 OUR INTELLECTUAL PROPERTY RIGHTS
7.1 We are the owner or licensee of all intellectual property rights in our trade marks, the content of our Survey forms and/or entry forms, and in any material or information we provide to you during your participation in any Activity (“Activity Material”). The Activity Material is protected by copyright laws and treaties around the world. All such rights are reserved and unless otherwise specified, the authors of such works asserts their moral right under Chapter 4 of the Copyright, Designs and Patents Act 1988 to be identified as the author of the relevant work. We own the Activity Material and provide it to you for your informational purposes only. You must not use or exploit any part of the Activity Material without notifying us of your intentions and obtaining a licence to do so from us or our licensors.
7.2 If you deal with or use any part of our Activity Material in breach of these T&Cs, your right to participate in the Activities will cease immediately and you must, at our option, return or destroy any copies of the Activity Materials you have made.
7.3 Any use of our website at www.ladbible.com, or www.unilad.com, or www.sportbible.com, or www.tyla.com, or www.gamingbible.com, is subject to the separate Terms of Use applicable to that website.
8 PARTICIPATION RULES
8.1 At all times when participating in the Activities, you agree to show respect towards us and other participants of the Activities. Insults and unfair or disrespectful behaviour by you towards any other participant or any of our representatives will not be tolerated and will be dealt with by us as we see fit. You acknowledge that we may take any action we reasonably consider necessary, including (without limitation) withdrawing you from an Activity and/or forfeiture of any benefit you may be eligible for as a result of your participation in an Activity.
8.2 You are responsible for making all arrangements necessary for you to have access to our Activities, including configuring your information technology, computer programmes and platform in order to access our Activities (including access to the third party platforms we use to facilitate the Activities, for example, Zoom). You should use your own virus protection software.
8.3 You acknowledge that you are required to have a valid Facebook or Instagram account or LADnation account (as applicable, depending on the relevant Activity) in order to participate and/or enter to participate in our Activities. Entry into Activities via these third party websites should not be interpreted as approval by us of those websites or information you may obtain from them. We have no control over the content of those third party websites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of such third-party websites will be subject to separate terms and conditions and privacy notices.
8.4 You agree to comply with any community guidelines as notified to you when participating in the LADnation panel.
9 DATA PROTECTION
9.1 You acknowledge that these T&Cs are supplemental to our Privacy Notice (as set out at www.ladbiblegroup.com/privacy) which sets out what data about you we collect in connection with your participation in any of our Activities and what we do with that data. We will only use your personal information as set out in our Privacy Notice. We strongly recommend that you read and ensure you understand our Privacy Notice prior to participating in the Activities.
9.2 You acknowledge that in participating in a Focus Group, you will have access to personal data relating to other participants of the Focus Group (as they will do about you). Unless we have given you express written permission, you shall not use, store or otherwise process this personal data about your fellow Focus Group participants other than as strictly necessary to facilitate your participation in the Focus Group as instructed by us.
10 YOUR LIABILITY IF YOU BREACH THESE T&CS
10.1 Without prejudice to our other rights under these T&Cs, if you breach any provisions of these T&Cs in any way, or if we reasonably suspect that you have breached these T&Cs, we may take any action we deem appropriate to remediate such breach, including withdrawal of your participation in the Activities (including any eligibility for a participation reward) and/or your entry into any prize draw.
11 OUR RESPONSIBILITY TO YOU
11.1 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors for fraud or fraudulent misrepresentation.
11.2 If we fail to comply with these T&Cs, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these T&Cs or our failing to use reasonable care and skill but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time you accepted these T&Cs, both we and you knew it might happen.
11.3 We are not liable for businesses losses. We only contract with you in your personal and nonbusiness capacity. If you use your rights under these T&Cs for any commercial or business purpose, we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
11.4 Subject to the terms set out in section 11.1 to 11.3, our total liability to you arising under or in connection with these T&Cs, whether in contract, tort (including negligence) or otherwise, shall be limited to £100.
12 CONFIDENTIALITY
You agree to keep confidential and secure, and not to disclose or use, any proprietary and/or confidential information that is directly or indirectly disclosed by us to you whether before or after the date of these T&Cs and in whatever format (verbal or in writing).
13 GENERAL TERMS
13.1 In these T&Cs: (i) reference to a person includes an individual, corporate or unincorporated body (whether or not having separate legal personality); (ii) words in the singular shall include the plural and in the plural shall include the singular; (iii) references to “including” and “include(s)” shall be deemed to mean respectively “including without limitation” and “include(s) without limitation”; (iv) reference to a statute or statutory provision is a reference to it as amended, extended or reenacted from time to time.
13.2 These T&Cs (and any other documents referred to within these T&Cs) constitute the entire understanding and agreement between you and us in relation to your participation in the
Activities.
13.3 These T&Cs are between you and us. You may only transfer your rights or your obligations under these T&Cs to another person if we agree to this in writing.
13.4 Each of the clauses and sections of these T&Cs operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining clauses and sections will remain in full force and effect.
13.5 We reserve the right (at our sole discretion) to hold void, suspend, cancel, end, terminate or amend the Activities carried out under these T&Cs where it becomes necessary to do so.
13.6 If a provision of these T&Cs is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
13.7 These T&Cs are for the benefit of you and us and are not intended to benefit any third party or be enforceable by any third party.
14 JURISDICTION AND APPLICABLE LAW
14.1 These T&Cs shall be governed by English law. If you live in:
- a) England or Wales, you can bring legal proceedings in respect of these T&Cs in the courts of England and Wales;
- b) Scotland, you can bring legal proceedings in respect of these T&Cs in either the Scottish or the English courts; or
- c) Northern Ireland, you can bring legal proceedings in respect of these T&Cs in either the Northern Irish or the English courts.
